Terms of Service

1. Parties

These terms govern all work performed by Solaisoft (“we”, “us”) for clients (“you”). Solaisoft is the registered business name of Macdara Ó Murchú, a sole trader operating in Perth, Western Australia. ABN: 24 379 197 237.

2. Services

We offer seven service types. Six are contracted per engagement; the audit is the one you can buy directly.

• Web-design builds - fixed-scope website design and development. Scope, deliverables, and price are agreed before work begins.
• Monthly care plan ($85/mo) - hosting, updates, and small changes whenever you need them (a new section, page or layout is quoted first) for a site we host, bought after the ongoing plan ends or without ever taking it. Billed monthly, no lock-in contract.
• SEO & AI visibility audit ($600) - a one-off written audit of how search engines and AI assistants find your site. Fixed scope and fixed price, bought directly from our pricing page. Section 10 sets out how it works.
• SEO & AI visibility plan ($400/mo) - the monthly service that works through the audit's ranked fixes and keeps measuring. Billed monthly, no minimum term. Section 11 sets out what it covers.
• Site search ($290 set-up, $29/mo) and Site Ask ($490 set-up, $49/mo) - a search box for your website. We host it, re-read your site every week and check every day that it loads. Site Ask also writes short answers from your pages. The set-up fee is waived when we build your site. Billed monthly, no minimum term, cancel with 30 days' notice.
• App work ($120/hr) - fixing bugs, documenting and finishing a web app you already have. We estimate the hours in writing before we start, bill in 15-minute increments, and you can stop at any time.
• Consulting - technical advice and strategy engagements. Scope and pricing agreed in writing before commencement.

Site refresh ($999) - an in-place design upgrade of a site you already own. We no longer offer it to new clients. If you have already accepted a written schedule for one, that schedule is the scope we deliver against, and our refund policy covers cancelling it.

3. Quotes and fixed-fee work

All build quotes are fixed-fee unless otherwise stated in writing. The quote covers the scope described in the agreed brief. Work outside that scope (additional pages, features, or significant design revisions) is priced separately and requires your written approval before we proceed.

4. Client content and approvals

You are responsible for supplying content (text, images, branding) on time and in the agreed format. Delays caused by missing content may affect the project timeline. You are responsible for ensuring all content you supply does not infringe third-party rights.

Feedback rounds are specified per project. We will ask for your sign-off at key stages. Approval at each stage is taken as acceptance that the work matches the brief. You have 3 business days to reply to each preview; with no reply, that round closes and the stage stands as shown.

5. Ownership and intellectual property

Ownership of the delivered website and its custom-written code transfers to you at launch or on full payment, whichever comes first. You own your site.

We may show the finished work in our portfolio. Your agreement has a box to say no, and you can also tell us in writing before the project is finished. We never publish anything you have told us is confidential.

Third-party components, fonts, or libraries incorporated into the build are subject to their own licences, which we will document on request.

6. Care plan

The monthly care plan covers minor updates, security patches, and general maintenance for sites we host and maintain. It does not cover new feature development or significant redesigns, which are quoted separately.

The care plan is month-to-month. You can cancel at any time, with 30 days' notice, by emailing hello@solaisoft.com. You keep the site.

7. Payment

Payment terms are agreed in writing per project. Invoices are due within 14 days. A deposit is non-refundable once we have started work, because it reserves the time we set aside. We may pause the work, and any recurring service, on invoices more than 30 days overdue, and we will tell you first.

8. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from or related to the services is limited to the greater of (a) the fees you paid us in the three months preceding the claim, and (b) the total fees you have paid us for the engagement the claim relates to. We are not liable for indirect, consequential, or incidental losses, including lost revenue, lost data, or business interruption.

Nothing in these terms excludes liability that cannot be excluded under Australian consumer law.

9. Governing law

These terms are governed by the laws of Western Australia, Australia. We each submit to the non-exclusive jurisdiction of the courts of Western Australia.

10. The SEO & AI visibility audit

The audit is sold at a fixed $600, paid in full at purchase. Buying it forms an agreement on these terms, so sections 3 and 7 - which cover quotes and invoiced work - do not apply to it. What the audit covers is described on the service page and is the scope we deliver against.

At checkout you tell us which website to audit. We acknowledge by email within one business day (AWST) and confirm that site. Work starts at that acknowledgement, and we deliver the written audit within five business days of it. If the site you gave us cannot be audited - it is unreachable, or it is not yours to have audited - we tell you and refund in full.

The audit is a written diagnosis with a ranked list of fixes. It does not include implementing them, and it is not a guarantee of any ranking, traffic, or citation outcome, which no one can control. Cancellation and refunds are set out in the refund policy. Making the fixes is the monthly plan in section 11, which you can take with the audit or not at all.

11. The SEO & AI visibility plan

The monthly plan is where the audit's fixes get made. Each month we work down the ranked roadmap, highest value first, on your own site: schema, content and technical changes are ours to make wherever you have given us admin access. Where a fix sits on someone else's site - a directory, a listing, an industry body - we make the submission for you wherever that site allows it, and where it needs you personally we give you the exact wording to paste.

Also every month: citation checks across four AI engines, a report on the searches winning impressions but not clicks, re-measurement after changes land, and a written report, with a full re-baseline each quarter. Hosting, security updates and small changes whenever you need them are the care plan in section 6, included in the plan’s price while it runs.

Not included: advertising and ad spend, a full site rebuild, a blog programme - the plan covers the pages the roadmap names - and any ranking or AI citation guarantee, which no one can honestly sell.

The plan is $400/mo. That is the standard price, and your audit sets the final figure on how many locations and service lines need covering, never on your revenue or headcount. Additional locations or service lines are $60/mo each. The plan is month to month with no minimum term, cancellable with 30 days' notice in writing to hello@solaisoft.com. A prepaid term runs to the end of the period paid for and unused months are not refunded.

12. Changes to these terms

We may update these terms from time to time. The current version is always at solaisoft.com/terms. A change applies to purchases made after we publish it. An audit or site refresh you have already paid for stays on the terms you bought it under, and a signed agreement changes only in writing signed by both of us.
